Terms of Service

The agreement governing business accounts, authorized users, subscriptions, platform use, and allocation of responsibility.

1. Agreement and customer

These Terms form an agreement between the business identified during registration or on an order form (the “Customer”) and the ZentroPayroll operator identified on that order form. The person accepting represents that they are legally authorized to bind Customer. Additional Payroll Services Terms apply before payroll onboarding, and an order form controls if it expressly conflicts with these Terms.

2. Accounts and authorized users

Customer must provide accurate information, keep credentials confidential, promptly remove access for former users, assign least-privilege roles, and notify us of suspected compromise. Each person must use an individual verified account. Customer is responsible for activity by its authorized users and for confirming invitations are sent to the intended email. We may require reverification or suspend access to protect users, funds, or the service.

3. Service and changes

ZentroPayroll provides tenant-scoped payroll workflow software and optional billing/accounting integrations. Features relying on payroll infrastructure providers, Stripe, ZentroBooks, email, banking, tax agencies, or other third parties are subject to their availability and required approvals. Sandbox features do not move real money. We may improve or modify features while avoiding material reduction of paid core functionality during a committed term, except where needed for security, law, or provider changes.

4. Fees, taxes, and renewal

Customer will pay fees shown on the accepted order or checkout. Unless stated otherwise, fees exclude taxes, are charged in advance, and are non-refundable except where required by law or expressly stated. Recurring plans renew for the selected interval until canceled. Failed payment may cause restricted service after notice. Payroll funding, taxes, penalties, reversals, and worker payments are separate from SaaS subscription fees.

5. Customer data and instructions

Customer retains ownership of Customer Data and grants the limited rights needed to host, process, transmit, back up, and display it to provide and secure the service. Customer represents that it has lawful authority and required notices/consents for worker and business data. Customer is responsible for data accuracy, payroll decisions, approved accounting mappings, and final review of calculations and journals.

6. Acceptable use and confidentiality

Customer will comply with the Acceptable Use Policy and applicable law. Each party will protect the other’s nonpublic confidential information using reasonable care and use it only for the agreement. Confidentiality does not cover information lawfully public, already known without restriction, independently developed, or rightfully received from another source. Required disclosures will be limited where legally permitted.

7. Intellectual property and feedback

ZentroPayroll and its licensors retain rights in the platform, documentation, designs, and service technology. Customer receives a limited, nonexclusive, nontransferable right for authorized internal business use during the subscription. Feedback may be used without restriction, but it will not be publicly attributed to Customer without permission.

8. Suspension and termination

We may suspend access for security threats, unlawful use, unpaid fees, provider direction, sanctions concerns, or material breach, using the narrowest practical scope and notice where feasible. Either party may terminate for uncured material breach under the notice period in the order form. On termination, access ends and data export/deletion follows the agreement, Privacy Notice, and legal retention duties.

9. Warranties and disclaimers

Each party warrants authority to enter the agreement. ZentroPayroll will provide the service in a professional manner and use commercially reasonable safeguards. Except for express commitments, the service is provided “as is” and “as available.” ZentroPayroll does not provide legal, tax, accounting, employment, or investment advice and does not guarantee agency acceptance, uninterrupted third-party services, or that AI suggestions are correct.

10. Liability, indemnity, and disputes

Final warranty disclaimers, liability caps, excluded damages, indemnities, governing law, venue, dispute process, and any arbitration/class-action terms must be stated in the signed order form or counsel-approved commercial version. No placeholder jurisdiction is imposed by this operational draft. Nothing excludes liability that cannot lawfully be limited.
